1. Agreement to Terms

By accessing or using the services of Birchwood Solutions ("we", "our", "us"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our services.

2. Services

2.1 Website Design Services

We provide website design and development services including:

  • Custom website design and development
  • Mobile-responsive layouts
  • Content management system setup
  • Basic SEO optimization
  • Website hosting and maintenance

2.2 Package Options

Our services are offered in tiered packages (Starter, Standard, Premium) as detailed on our pricing page. Each package includes specific deliverables and features.

3. Payment Terms

3.1 Upfront Fees

One-time setup fees must be paid before work commences. Payment schedules may vary based on project size and will be outlined in your proposal.

3.2 Monthly Hosting & Maintenance

All packages require ongoing hosting and maintenance at £29.99 per month. This fee covers:

  • Reliable hosting infrastructure
  • SSL certificate
  • Daily backups
  • Technical support
  • Security updates
  • Performance monitoring

3.3 Payment Methods

We accept payments via bank transfer, debit/credit card, and other approved payment methods. Monthly fees are automatically charged on the anniversary date of service activation.

3.4 Late Payments

Late payments may result in service suspension. A reconnection fee may apply if services are suspended for non-payment.

4. Client Responsibilities

4.1 Content Provision

Clients are responsible for providing:

  • Company information and branding materials
  • Images and media content (or budget for stock images)
  • Text content (or approval for our copywriting)
  • Timely feedback and approvals

4.2 Content Rights

You warrant that all content you provide does not infringe on any third-party rights and that you have permission to use all provided materials.

5. Project Timeline

5.1 Estimated Completion

Project timelines are estimates and depend on client responsiveness and content provision. Typical completion times:

  • Starter Package: 1-2 weeks
  • Standard Package: 2-3 weeks
  • Premium Package: 3-4 weeks

5.2 Delays

We are not liable for delays caused by client factors, including delayed content provision, feedback, or approvals.

6. Revisions and Changes

6.1 Included Revisions

Each package includes a reasonable number of revisions during the design phase. Major scope changes may incur additional fees.

6.2 Post-Launch Changes

Minor updates and content changes are included in your monthly maintenance fee. Significant redesigns or new features will be quoted separately.

7. Intellectual Property

7.1 Client Ownership

Upon full payment, you own the content and design of your website. We retain rights to underlying code, frameworks, and reusable components.

7.2 Portfolio Use

We reserve the right to showcase your website in our portfolio and marketing materials unless otherwise agreed in writing.

8. Hosting and Maintenance

8.1 Service Continuity

We strive for 99.9% uptime but cannot guarantee uninterrupted service due to factors beyond our control (hosting provider issues, DDoS attacks, etc.).

8.2 Backups

Daily backups are performed automatically. While we take precautions, we recommend clients maintain their own backups of critical data.

8.3 Termination of Hosting

Either party may terminate hosting services with 30 days' written notice. Upon termination, we will provide website files and database exports.

9. Warranties and Disclaimers

9.1 Service Warranty

We warrant that our services will be performed with reasonable skill and care in accordance with industry standards.

9.2 No Guarantee of Results

While we design websites to generate leads and improve online presence, we do not guarantee specific business results, traffic levels, or conversion rates.

9.3 Third-Party Services

We are not responsible for third-party services (Google, payment processors, etc.) or their availability, functionality, or policies.

10. Limitation of Liability

To the fullest extent permitted by law, Birchwood Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising from use of our services. Our total liability shall not exceed the amount paid by the client in the 12 months preceding the claim.

11. Confidentiality

We will keep confidential any proprietary information shared during the course of our business relationship. This does not apply to information that is publicly available or independently developed.

12. Termination

12.1 By Client

Clients may terminate services at any time with written notice. Upfront fees are non-refundable. Monthly hosting fees will cease after the notice period.

12.2 By Us

We reserve the right to terminate services if payment terms are not met or if the client violates these terms.

13. Dispute Resolution

Any disputes arising from these terms shall be resolved through good faith negotiation. If unresolved, disputes will be subject to the jurisdiction of UK courts.

14. Governing Law

These Terms and Conditions are governed by the laws of England and Wales.

15. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services constitutes acceptance of modified terms.

16. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
